Areas of Practice

REAL ESTATE

  • Assisting purchasers, sellers, contractors, and developers in connection with residential, retail, commercial, office and industrial real estate matters, including development, construction, financing, leasing, like-kind exchange transactions, and purchases and sales
  • Assisting purchasers and developers to conduct vital due diligence reviews in connection with real estate transactions, including surveys, zoning and other regulatory issues, reviewing title insurance commitments, and negotiating boundary encroachments
  • Drafting, negotiating and providing advise to parties with regard to access, parking, and utility easements, stormwater management agreements, restrictive covenants, and private drive agreements
  • Drafting and advising parties with regard to condominium and fractional ownership of real estate, including preparing commercial, parking, and residential condominium declarations and associated documentation, tenant in common agreements, and subdivision covenants and improvement agreements
  • Assisting parties in working with federal, state and local governmental agencies in business, real estate, and environmental matters
  • Representing borrowers and lending institutions in structuring, negotiating and documenting financing transactions
  • Representing parties in the purchase, sale, construction, and development of single and multi-family residential real estate

BUSINESS

  • Advising individuals and business entities at all stages, including entity selection and formation (i.e. sole proprietorships, corporations, (including Subchapter S), non-stock corporations, limited liability companies, limited partnerships, etc), day-to-day business operations (including annual meeting documentation, reporting requirements, operating your entity to maintain the protections provided by the entity type chosen) and the selling and buying of businesses, including business succession planning
  • Assisting individuals and businesses with respect to corporate restructuring, merger transactions, and stock acquisitions or sales
  • Drafting, negotiating and providing advice to parties with regard to contract matters of many types, including purchase agreements, supply agreements, employment contracts, non-compete agreements, shareholder agreements, stock purchase agreements, asset purchase agreements and development agreements

CREDITOR‘S RIGHTS

  • Representing many banks, commercial lenders and other secured creditors in judicial foreclosure actions in state and federal courts, as well as pre-foreclosure negotiations such as forbearance agreements and deed in lieu of foreclosure situations
  • Assisting lenders and secured creditors in transactions involving intercreditor and subordination agreements, and participation agreements
  • Representing secured creditors in bankruptcy cases
  • Negotiating debtor-in-possession financing facilities, cash collateral and adequate protection orders and exit financing facilities
